These Terms and Conditions ("Terms") govern your access to and use of the AgentPay platform, API, documentation, and related services ("Services") operated by MR Dula Enterprise, LLC ("we," "us," or "Company"), a company located in Raleigh, NC, USA. By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance and Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization. By using the Services, you confirm your acceptance of these Terms and our Privacy Policy and Use of AI Policy, which are incorporated by reference.

2. Description of Services

AgentPay provides an API-first payment layer for AI agents, including managed wallet abstractions, 402 payment handling, SDKs (e.g., TypeScript and Python), a web dashboard for API keys and spend, and documentation. The Services may be modified, suspended, or discontinued at our discretion. We are actively developing the platform; the Services may not be fully functional or suitable for production use at all times.

3. Account and API Keys

You may create an account (e.g., via the dashboard with third-party sign-in) or use the API to create API keys. You are responsible for maintaining the confidentiality of your credentials and API keys and for all activity under your account. You must notify us promptly of any unauthorized use. We are not liable for losses arising from unauthorized use of your credentials or keys.

4. Acceptable Use

You agree to use the Services only in compliance with applicable laws and these Terms. You may not: (a) use the Services for any illegal or fraudulent purpose; (b) attempt to gain unauthorized access to our systems or other users' data; (c) interfere with or disrupt the Services; (d) use the Services to transmit malware or abuse third-party APIs or networks; or (e) resell or sublicense the Services in a manner that violates these Terms. We may suspend or terminate access for violation of acceptable use.

5. Payments and Cryptocurrency

The Services may facilitate payments and interactions with digital assets (e.g., USDC on the Base network) and with third-party facilitators and networks. We do not guarantee the availability, accuracy, or legality of any blockchain or third-party service. You are solely responsible for complying with applicable financial, tax, and regulatory obligations. Use of cryptocurrency and related features is at your own risk.

6. Intellectual Property

We retain all rights in the Services, including software, documentation, trademarks, and content. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of our proprietary materials without our prior written consent.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MR DULA ENTERPRISE, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless MR Dula Enterprise, LLC and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Changes to the Terms

We may update these Terms from time to time. We will post the updated Terms on our documentation site and update the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina and the United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Raleigh, NC, and you consent to personal jurisdiction there.
